IP DUE DILIGENCE

When you’re preparing to buy or sell a company, product, or service line, the first order of business is IP due diligence. Similar to an IP audit, this process is intended to help adjust the price—the cleaner and more complete the IP portfolio, the more money it is worth. 

 

KPIP Law’s research will help you understand IP-related risks and opportunities while mitigating potential litigation or regulatory issues post-transaction with an in-depth review of:

  • Marketing materials and website

  • Products, services, and processes

FOREIGN IP FILING

Effective IP portfolio management is essential during any acquisition or other business transaction. As your IP attorney, Kim will ensure all involved assets remain protected and compliant. This includes handling:

  • IP Searching: Kim will identify the existence and status of related IP. 

  • Filing: Any necessary patents, trademarks, and copyrights will be filed on your behalf pre- and post-transaction.

  • Prosecution: Kim will advocate on your behalf (or that of your client, in the case of foreign associates) before the relevant government office between filing and patent granting or copyright/trademark registration.

  • Watch Services: Also known as trademark monitoring services, this involves looking for filings by others—both in the U.S. and internationally—that might interfere with your or your client’s IP (e.g., logos and names that are too close).

  • Maintenance: Kim will ensure that any patents and registered trademarks are in good standing by verifying payment and filings are in force so valuable IP doesn’t become abandoned.

LICENSING

Prior to licensing, Kim will assist you in building a solid IP strategy, which allows for selling and licensing activity as well as demanding a higher value. When it comes time to make the agreement official, she will:
